The SEC opened a five-year sandbox for tokenized stocks. Those are still shares.

Release 34-106402 lets qualifying venues trade tokenized listed US stocks in pools. It is an exemptive order, not a new company and not a new bitcoin.

On 17 September 2026 the US Securities and Exchange Commission issued an exemptive order it calls the Innovation Exemption — Exchange Act Release No. 34-106402. It lets qualifying venues trade tokenized versions of exchange-listed US stocks, the shares the rulebook calls NMS stocks, through automated market makers and liquidity pools, without registering as an exchange. Certain liquidity providers in those pools can avoid registering as dealers. The order took effect at once. It runs until 17 September 2031 unless the Commission changes or ends it. Two days earlier the Senate had failed to take up the CLARITY Act. This order is what an agency can do with powers it already has. It is not the statute that failed.

The conditions are the product. A tokenized share must carry the same rights as the ordinary share, including dividends and voting. It may be paired only with another tokenized stock, a non-security crypto asset such as a licensed payment stablecoin, or a tokenized money-market fund. If a third party tokenizes a company’s stock, the venue must notify the company, wait at least 30 days, and leave that stock off if the company objects in time. Volume caps apply. A venue must give 30 days’ public notice before it starts. The order does not allow primary offerings. It does not cover synthetic products that only track a share price.

What happened

An exemptive order skips the long rulemaking sequence and can be revised whenever the Commission decides the experiment is over. The SEC asked for comment on every part of the relief, including whether it should become permanent. Comment is not adoption. A permanent rule would be a later document. The same day, CFTC staff took a no-action position on certain passive trading software. That is a sibling press release about software that routes orders. It is not this stock-token order, and it is not a crypto exchange licence.

Do not mash this into the 17 September 2025 generic listing standards for Commodity-Based Trust Shares. That order shortened the queue for some commodity wrappers, including some crypto products, on national securities exchanges. This 2026 order is about tokenized copies of ordinary listed stocks trading in pools. Faster crypto ETP listings are a process change, not a hall pass is the older plumbing. A spot ETF is a wrapper, not a new bitcoin. A tokenized share is a wrapper with a private-key costume. You still have a claim on a share’s rights only if the token actually carries them, which is the condition the order insists on, and only against whoever issued or custodies that token.

Why it matters

If you hold bitcoin, this page did not list it. If you hold Apple or a broker’s stock token in an app, read which vehicle you bought. A token that pays the dividend and votes is trying to be the share. A token that merely tracks the price is outside this order and is a different bet. “The SEC approved tokenized stocks” will be the caption. The instrument is permission for qualifying venues, under caps, with a company veto and a five-year fuse. It does not turn a brokerage balance into a wallet. See how buying crypto actually works, and an exchange balance is an IOU, not a wallet — the same habit applies when the ticker is a stock.

Issuers and venues will spend the autumn on the 30-day notice, the pairing rules, and whether a licensed payment stablecoin is the cash leg. That phrase “licensed” is doing work. It points at the GENIUS Act’s permitted issuers, a statute whose main obligations arrive in January 2027, not at whichever dollar token an app already shows. Other countries did not vote. MiCA did not become this order.

What happens next

Venues will file notices. Some companies will object and stay off the pool. Marketing will flatten “Innovation Exemption” into “Wall Street is on-chain”. A filing by a crypto exchange to offer the product, including reports in early October that OKX had gone to the SEC, is an application to use the order. It is not the order working, and it is not a recommendation of that venue. The Commission can narrow the relief in a later release. Watch sec.gov for 34-106402, not a thread that heard “tokenized” and bought a lookalike contract.

Not a recommendation of any stock, tokenized share, stablecoin, or trading venue. Not legal advice. Not an instruction to move shares on-chain.
